Governing Law and Jurisdiction Framework

1. DACH region (Germany, Austria, and Switzerland)
   For Partners primarily operating in DACH region, this Agreement shall be governed by and construed in accordance with the laws of Germany, without regard to its conflict of laws principles. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Düsseldorf, Germany.
2. BENELUX region (Belgium, Netherlands, and Luxembourg)
   For Partners primarily operating in the BENELUX region, this Agreement shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of laws principles. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Amsterdam, Netherlands.
3. United Kingdom and European Economic Area (excluding DACH and BENELUX)
   For Partners primarily operating in the United Kingdom or any EEA member state (except DACH and BENELUX regions), this Agreement shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of laws principles. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of London, England.
4. United States
   For Partners primarily operating in the United States, this Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware. BOTH PARTIES IRREVOCABLY WAIVE ANY TRIAL BY JURY.
5. Southeast Asia
   For Partners primarily operating in Southeast Asia, this Agreement shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of laws principles. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Singapore.
6. Japan
   For Partners primarily operating in Japan, this Agreement shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of laws principles. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Tokyo.
7. Default Jurisdiction and Multiple Jurisdictions
   In the event that:
   (a) the Partner’s jurisdiction is not specifically addressed in Sections ‎1 through ‎4 above; or
   (b)    the Partner operates in multiple jurisdictions,
   this Agreement shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of laws principles, and any dispute arising out of or in connection with this Agreement shall be subject to adjudication as follows:
   (a) Nayax shall have the option, at its sole discretion, to initiate legal proceedings either:
   (i) in the courts of Tel Aviv, Israel; or
   (ii) in the courts of the jurisdiction where the Partner is incorporated or primarily operates.
   (b) The Partner may initiate legal proceedings only in the courts of Tel Aviv, Israel.Each party irrevocably submits to the jurisdiction of the applicable courts as specified in this Section and waives any objection to proceedings in such courts on the grounds of venue or on the grounds that proceedings have been brought in an inappropriate forum.

The United Nations Convention for the International Sale of Goods does not apply to this Agreement.
